You will perform the duties and responsibilities associated with your position as well as any other duties that may be assigned from time to time. You will be eligible to participate in Extended Health and Dental Coverage after 3 months.

Vacation
You are entitled to two weeks of vacation time in each calendar year. Vacation pay is included in your salary. If you are absent from work for any reason on an unpaid leave of absence, you will continue to accrue vacation time, however vacation pay will be prorated to reflect your period of absence. You may take your vacation at mutually convenient times.

Termination
You may terminate this agreement by providing us with four weeks’ notice in writing of your resignation.

We may terminate this agreement without notice or pay in lieu of notice at any time for cause.

We may terminate this agreement at any time for any reason by providing you with the greater of (a) four weeks of written notice or termination pay in lieu of notice and (b) the minimum amount of written notice or termination pay in lieu of notice required under An Act respecting labour standards (Ontario). In addition to the above, we will pay any outstanding severance pay or other amounts owing under this agreement or An Act respecting labour standards (Ontario).

Confidential Information
“Confidential Information” means information in recorded or unrecorded form that is not generally available to the public and is generated, collected or used in the course of our current and anticipated business activity, including our research and development activity.

You understand that Confidential Information does not need to be expressly marked as confidential to be protected under this agreement.

You further understand that Confidential Information includes business and marketing plans, bids and proposals, customer lists, lists of suppliers, surveys, calculators, plans and specifications, personal information of employees, information about the composition of work teams, purchasing and internal cost information, operating manuals, engineering standards and specifications, price and cost data, price and fee amounts, pricing and billing policies, quoting procedures, marketing techniques and methods of obtaining business, forecasts and forecast assumptions and volumes, contracts, customer information, quantity and specifications of products and services purchased, leased, licensed or received by customers or clients, work product and Intellectual Property.

During your employment you agree to:
(a) use, communicate, copy, transfer or disclose Confidential Information only as necessary to fulfil your employment duties unless you have our prior written permission; and

(b) take reasonable steps to protect Confidential Information from unauthorized use, communication, copying, transfer and disclosure by other employees and individuals.

After your employment ends, whether you resign or are terminated for any reason, you agree to:

(a) immediately return all company-owned computer equipment and all manuals, documents, papers and other records in your possession (whether in electronic or physical form); and

(b) permanently refrain from using, communicating and disclosing Confidential Information for any reason except with our prior written permission.

Non-Solicitation of Employees
You agree for a period of one year following termination of your employment, that you will not, solely or jointly with others:

(a) hire, contract or take away or cause to be hired, contracted or taken away any employee or independent contractor of FastCap; or

(b) solicit or encourage any employee or independent contractor of Canadain POS to terminate employment with or cease providing services to Canadian POS.

Non-Solicitation of Customers
You agree for a period of one year following the termination of your employment, that you will not solicit by mail, phone, electronic communication, personal meeting, or any other means, either directly or indirectly, business from any customer of Canadian POS who you served or whose name became known to you during your employment with Canadian POS. Notwithstanding the previous sentence, this paragraph will not apply to any merchant with whom you had a pre-existing personal relationship prior to your employment with Canadian POS. Your agreement not to solicit means that you will not, during your employment in any capacity, and for a period of one year thereafter, initiate any contact or communication, of any kind whatsoever, for the purpose of inviting, encouraging or requesting any Canadian POS customer to transfer from Canadian POS to you or to your new employer, to open a new merchant account with you or with your new employer, or to otherwise discontinue its patronage and business relationship with Canadian POS.
